Under the legislation currently in force, the benefits relating to Brazilian social contributions levied on gross revenue (PIS and Cofins) and the Tax on Industrialized Products (IPI)will only apply until December 31, 2026, and have not yet been expressly extended to the new Contribution on Goods and Services (CBS), which will replace PIS and Cofins in 2027.

Although the current legislative framework creates uncertainty regarding the interaction between REDATA and the future CBS regime, investors should also consider that REDATA was enacted with a statutory duration of five (5) years. From a policy perspective, it appears unlikely that the Federal Government intended the regime’s principal tax incentives to become substantially ineffective shortly after its implementation. Future legislative developments should therefore be closely monitored, as the long-term effectiveness of REDATA may ultimately depend on the treatment granted to CBS under Brazil’s broader tax reform framework.

Which Projects May Qualify

A legal entity may apply for REDATA qualification if it implements a project for the installation, modernization or expansion of data center services in Brazil.

For this purpose, data center services comprise infrastructure and computing resources dedicated to the storage, processing and management of data and digital applications, including: (i) cloud computing, (ii) high-performance computing, (iii) training and inference of artificial intelligence models, and (iv) related services to be defined by the Federal Government according to Brazil’s services classification system.

The applicant must be in good standing with the Brazilian federal tax authorities and may not have outstanding debts recorded in the Federal Government’s registry of outstanding debts owed to the federal public sector (Cadin).

Entities enrolled in Brazil’s simplified tax regime for micro and small businesses (Simples Nacional) are not eligible.

Based on the current statutory framework, direct access to REDATA appears to require the qualifying entity to implement and operate the relevant project, rather than merely holding a passive investment position. Nevertheless, the legislation does not expressly address every potential investment structure, and the practical treatment of complex financing and investment arrangements may depend on future regulations and administrative guidance.

The corporate, contractual, and operating structure should be defined before equipment is acquired or imported, as the identity and role of the qualifying entity may directly affect access to the incentives.

REDATA Tax Benefits

REDATA provides for the suspension of the following federal taxes on eligible electronic components and information and communication technology products intended for the fixed assets of a qualifying data center operator:

Tax

Domestic Acquisition

Importation

PIS and Cofins on Domestic Sales

Suspension

N/A

PIS and Cofins on Import

N/A

Suspension

IPI

Suspension

Suspension

Import Duty (II)

N/A

Suspension (subject to no equivalent domestic production)

The incentives apply to qualifying acquisitions in Brazil and imports. The law also expressly permits imports carried out by a Brazilian importer on behalf of and by order of the REDATA-qualified entity – a structure commonly used in Brazil under which a specialized trading or importing company conducts customs clearance for the actual purchaser.

The concept of “equivalent domestic production” deserves particular attention from investors planning to import servers, semiconductors, GPUs, networking equipment, and artificial intelligence infrastructure. Historically, similar concepts adopted in Brazilian trade and industrial policies have generated significant interpretative disputes regarding product comparability, technological specifications, production capacity, and local availability. The implementing regulations will therefore play a critical role in determining the practical scope of the Import Duty incentive. The Federal Government must still issue the list of eligible products and define or apply the criteria for determining whether an equivalent product is manufactured in Brazil.

The incentives do not operate as an immediate and unconditional exemption. Taxes are initially suspended. For a qualified data center operator, the suspension is converted into a zero rate only after the equipment has been incorporated into its fixed assets and the relevant statutory commitments have been satisfied.

Until that conversion occurs, the suspended taxes should be treated as a contingent exposure that may become payable if the conditions of the regime are not satisfied.

Manufacturers And Suppliers May Also Benefit

REDATA is not limited to data center operators. A manufacturer may apply for co-qualification if it has a contractual relationship to supply information and communication technology products manufactured by it – directly or through contract manufacturing – for incorporation into the fixed assets of a REDATA-qualified operator.

For a co-qualified supplier, the tax suspension applies only to products used in the manufacturing of the technology equipment to be delivered to the qualified data center operator.

The suspension is converted into a zero rate after completion of the sale and delivery of the manufactured product to the qualified operator.

This mechanism may create opportunities for local manufacturers, foreign equipment groups with Brazilian industrial operations and international suppliers considering local manufacturing arrangements. It also makes the contractual relationship between the operator and the supplier a central part of the tax structure.

Contracts should allocate responsibility for:

maintaining REDATA qualification and co-qualification;

confirming the eligibility and intended use of the equipment;

documenting delivery and incorporation into fixed assets;

monitoring changes to the project or equipment specifications;

addressing delays, cancellation or termination of supply agreements; and

bearing the cost of suspended taxes, interest and penalties if the conditions are not met.

REDATA Compliance Requirements

Access to REDATA incentives requires the qualified entity to undertake several cumulative commitments.

Requirement

Rule

Domestic market commitment

At least 10% of qualifying processing, storage, and data-management capacity must be made available to the Brazilian market

Renewable or low-emission energy

100% of electricity demand must be supplied by renewable or low-emission sources

Water efficiency

WUE ≤ 0.05 liter per kilowatt-hour

Research and development

Investment equivalent to 2% of the value of qualifying equipment

Sustainability reporting

Periodic reporting and potential independent audit requirements

Domestic market requirement

At least 10% of the effective processing, storage and data-management services installed with REDATA benefits must be made available to the Brazilian market.

The requirement may be fulfilled through services sold domestically or through capacity made available free of charge to Brazilian scientific and technological institutions or public authorities for qualifying public policy purposes.

The domestic market commitment may be replaced with an additional investment in research, development and innovation corresponding to 10% of the value of the equipment acquired with REDATA benefits.

For qualifying facilities located in Brazil’s North, Northeast and Center-West regions, including certain areas covered by regional development agencies, the domestic market commitment is reduced by 20%.

The reduced requirements applicable to projects located in Brazil’s North, Northeast and Center-West regions may also become relevant when combined with state-level economic development policies, energy availability, and infrastructure incentives. Although REDATA is a federal regime, investors should assess potential interactions with regional investment programs and local economic development initiatives when selecting the project location.

In practice, factors such as electricity costs, grid availability, connectivity infrastructure, and state-level tax policies may be as relevant as the federal incentive itself when determining the overall economic viability of a project.

Potential State-Level ICMS Incentives

Although REDATA is a federal tax regime, investors should also monitor potential state-level tax developments. As of the date of this publication, no major data center hub state has implemented a specific ICMS incentive expressly linked to REDATA. Nevertheless, several states, including São Paulo, Minas Gerais, Ceará, Rio Grande do Sul and Paraná, have publicly discussed measures aimed at enhancing the competitiveness of digital infrastructure projects.

Ceará has recently enacted legislation establishing a state policy to encourage the deployment of data centers, while Paraná is considering legislation that could authorize ICMS-related incentives for qualifying projects. Accordingly, project location decisions should consider not only the federal REDATA benefits but also the possibility of future state-level incentives, which may further affect the overall economics of large-scale data center investments.

Energy requirement

The entire electricity demand of the qualifying data center must be covered through supply agreements or self-generation from renewable or low-emission sources.

The legislation does not yet provide a complete definition of “low-emission sources.” This issue will be addressed in the implementing regulations and may materially affect project location, power purchase agreements and the eligibility of energy supplied from sources such as natural gas or nuclear power.

Water efficiency

The project must maintain an annual Water Usage Effectiveness (WUE) ratio equal to or below 0.05 liter per kilowatt-hour.

Investors should assess whether the planned cooling system, water source and local infrastructure allow the project to comply with this threshold throughout its operation.

Research and development

The qualified entity must invest in Brazil an amount corresponding to 2% of the value of the equipment acquired with REDATA benefits in research, development and innovation projects connected to the digital economy supply chain.

The investments must be carried out through eligible Brazilian institutions and programs to be further detailed by regulation.

For facilities located in the North, Northeast and Center-West regions, this investment requirement is also reduced by 20%.

Reporting and verification

Qualified entities will be required to publish sustainability reports containing information on water efficiency, energy sources and other indicators established by regulation.

Certain commitments may also require reports and opinions issued by an accredited independent auditor.

Non-compliance may trigger significant tax exposure

Failure to comply with REDATA conditions may result in the qualified entity being required to pay the previously suspended taxes, together with interest and late-payment penalties calculated from the original taxable events.

Failure to comply with the domestic market requirement may also result in suspension of the incentives for new acquisitions. If the violation is not remedied within 180 days after notice, the qualification may be cancelled.

Following cancellation, both the excluded entity and its economic group may be prevented from reapplying to REDATA for two years. An administrative appeal against the suspension or cancellation will not automatically stay the decision.

The statutory reference to the broader economic group is particularly relevant to multinational investors with multiple projects or entities in Brazil. Non-compliance by one qualified entity may potentially affect the ability of other group entities to access the regime.

The legislation does not comprehensively define the scope of the relevant economic group for REDATA purposes. Consequently, questions may arise regarding the extent to which holding companies, affiliated project companies, joint ventures, or other entities under common control could be affected by a suspension or cancellation decision. This issue may become particularly relevant for multinational groups managing multiple digital infrastructure projects through separate Brazilian special-purpose entities.

The tax benefit should therefore be supported by an ongoing compliance program rather than treated solely as an incentive obtained at the equipment acquisition stage.

Interaction with Brazil’s consumption tax reform

REDATA incentives have a statutory duration of five years. However, Law No. 15,504/2026 expressly provides that the benefits relating to PIS and Cofins on domestic sales and on import, and IPI will only apply until December 31, 2026.

From 2027, PIS and Cofins will be replaced by the CBS under Brazil’s consumption tax reform. IPI rates will also generally be reduced to zero, subject to the rules protecting production in the Manaus Free Trade Zone.

REDATA has not yet been expressly adapted to provide a corresponding CBS suspension or zero rate. Under a strict reading of the legislation currently in force, the only REDATA benefit clearly preserved throughout the five-year period is the treatment applicable to Import Duty.

However, this interpretation should not necessarily be viewed as the outcome of the legislative framework. Since REDATA was enacted with a five-year duration and forms part of Brazil’s broader strategy to attract digital infrastructure investments, future legislative adjustments designed to align the regime with the CBS cannot be ruled out.

An implementing decree or administrative regulation would not appear sufficient, by itself, to create a CBS incentive without the required statutory basis under the legislation governing the new tax. Any extension of equivalent tax treatment to CBS would likely require an express legislative amendment or other statutory authorization consistent with Brazil’s constitutional principle of tax legality.

Consequently, projects involving acquisitions or imports from 2027 onwards should not assume that the current PIS and Cofins relief will automatically migrate to the CBS.

At the same time, investors should consider that the CBS will generally operate under a broad non-cumulative VAT model that is expected to provide wider credit recovery mechanisms than those historically available under the PIS and Cofins system. Depending on the final legislative framework and the specific economic profile of the project, the practical relevance of certain tax incentives may differ from that observed under the current regime.

The financial model should consider at least two scenarios: (i) application of REDATA strictly under the legislation currently in force, and (ii) a possible future legislative amendment extending equivalent treatment to the CBS.

A sensitivity analysis comparing both scenarios may be particularly important for projects with significant imported equipment costs, accelerated deployment schedules or long-term return expectations.

This distinction may materially affect capital expenditure, procurement schedules, import structures and the expected return on the investment.

Pre-Implementation Checklist

While the implementing regulations are pending, investors and operators may already take steps to assess the feasibility of REDATA, including:

Corporate StructureBrazilian operating entityJV/project company structureEconomic group analysis

OperationsEnergy sourcingWater-efficiency complianceProcurement schedule

Tax PlanningImport strategyEquivalent domestic production reviewCBS transition modeling

ComplianceR&D commitmentsReporting obligationsSupplier co-qualification

Early planning will be particularly important because the qualification procedure, procurement structure and contractual arrangements may need to be in place before the relevant equipment is purchased or imported.

Although important aspects of REDATA remain dependent on implementing regulations, the regime represents one of Brazil’s most significant recent initiatives aimed at attracting digital infrastructure investments. Its ultimate competitiveness will depend not only on the forthcoming regulations, but also on the extent to which the incentives are harmonized with Brazil’s consumption tax reform and integrated with broader federal and regional economic development policies. Early legal, tax and operational planning may therefore be decisive in preserving the expected economic benefits of qualifying projects.

Araújo
